Job Description:
About the Role:

The Paralegal role , which will be located at our Oak Brook headquarters, will be a key member of the legal team, collaboratively working with our finance , treasury, human resources and other business leaders supporting corporate governance and corporate secretary functions . Must be comfortable interfacing with the highest levels of management within the company , as well as our Board of Directors . T his role will manage complex projects and anticipate and initiate routine legal tasks independently and as requested by manager and attorneys while performing various functions including, but not limited to:

• Support the corporate secretary and corporate governance function for a NYSE public company and its subsidiaries.

• Assist with preparation and posting of Board of Director and Committee materials .
• Assist in managing the BOD calendar and communications.
• Prepare and manage execution of written consents and resolutions for a variety of board actions and secretary and incumbency certificates and maintain appropriate records including minute books for all corporate entities and manage legal entity organization.
• Draft, file, and manage various business entity documents, including formation, merger and dissolution documents, foreign qualifications, and amendments to corporate organizational documents.
• Support special corporate governance projects, including research and benchmarking .

• Assist in managing SOP for the company and its subsidiaries and assist with responses to subpoenas and similar requests.
• Assist in p repar ing routine securities filings such as the Forms 10-Q/K and 8-K, proxy statement, Section 16 filings and support the annual shareholders’ meeting.
• Assist with governance website management and related governance communication obligations.
• Identifies and adopts technology to enhance legal department operation, including managing the electronic board portal platform for board materials .
• Assist in-house legal department with regard to special legal projects , including merger and acquisition due diligenc e, research, corporate filings, drafting documents and other tasks and duties as assigned.

About You :

You’ll fit right in if you have:

• 5 -10 years of experience as a Corporate Paralegal focused on Corporate Governance (in-house experience preferred)
• Strong written and oral communications skills
• Strong attention to detail

• Strong legal analysis skills, including the ability to read, interpret and apply legal requirements and concepts to legal and business matters
• Self-starter who is able to prioritize tasks and manage complex projects
• Proficient in Microsoft Office 365 (Word, Excel, Power Point, Teams) , Adobe Pro, hCue and Diligent Boards or comparable Board portals
• Strong judgement to know when to raise issue s to team leader or subject matter experts
