Your Role: The position requires independent handling of a broad variety of commercial contracts and “tech transactions,” including inbound software and data licensing, SaaS software, consulting, and outsourcing. The candidate is expected to understand business objectives, influence contract structure, collaborate with subject matter experts, frame and negotiate intellectual property and risk shifting terms, and solve problems with a reasonable risk compass.
Handle commercial contracts that do not fit the classic Procurement mode, such as pilot agreements with emerging industry providers in support of our Strategy & Innovation division and outbound services agreements in support of our Specialized Services service provider subsidiary.
Apply knowledge of legal domains that commonly apply in technology contracts (primarily IP and privacy) is required.
Provide support and assistance in substantive legal issues relevant to a wide variety of insurance related contracts including patent and trademark development and protection; marketing/branding; real estate; and insurance contracts (distribution, reinsurance).
Review collateral and advise on compliance with advertising law. Advertising review is matrixed with other colleagues in Legal, and the candidate has the opportunity to utilize, or gain, skills in adjacent areas such as privacy (e.g., CAN-SPAM, TCPA) and insurance regulations related to advertising.
Required Experience, Education and Skills
J.D. from accredited U.S. law school and bar admission for state of residency.
7+ years in non-repetitive contracting that involves thoughtful structuring, strong problem-solving techniques, and application of challenging legal concepts, such as intellectual property rights and nuanced indemnification terms.
Strong understanding of the building blocks of contracts and ease in drafting and redlining contracts in a detailed, intellectually grounded manner.
Passion and intellectual curiosity: Less expertise may be offset by a passion for learning and excellence; a person with moderate experience and who demonstrates high intellectual curiosity, values nuance, and sees contracting a craft in which one is continually honing their skills can grow into the position.
Business focus. We expect our contracting work to be grounded in a solid understanding of business needs and risks. We expect efficiency and creativity in contracting and recognize that accepting risks is vital to complete transactions in an efficient and timely manner.

The national average salary range for this position is $174,000 – $194,000. However, we have a location-based compensation structure. Our salary ranges vary and are calculated based on county of residence. The full salary range for this position across all the states we hire in is $157,000 – $233,000. This role also includes an opportunity for a company-wide annual discretionary bonus, through our Annual Incentive Plan (AIP), of up to 15% of eligible pay.
